Terms of Service

Please read the following Terms and Conditions of Service (“Terms”) carefully before using Ranvil's services. By accessing or using Ranvil's website and services (“Services”), you are deemed to have read, understood, and agreed to be bound by these Terms. If you do not agree to any part of these Terms, you are not permitted to use Ranvil's Services.
Scope of Service
Ranvil provides agent automation services and other digital solutions available internationally to business clients. These services can be used by clients in various countries, and Ranvil strives to comply with global service standards. You are responsible for ensuring that your use of the Services complies with the applicable laws and regulations of your local jurisdiction. Use of the Services in any region must comply with relevant local export, import, and other regulations.
User Eligibility
Ranvil Services may only be used by individuals who are at least 18 years of age. By using the Services, you represent that you are at least 18 years of age and legally competent to enter into a binding agreement. If you are using the Services on behalf of a company or other legal entity, you also represent that you have the legal authority to represent and bind that entity to this agreement.Ranvil reserves the right to request proof of such authority if necessary.
Fees and Payments
Ranvil's services are provided on a paid subscription basis. The following are the applicable fees and payment terms.
  • Setup and Subscription Fees: Use of the Service may involve a Setup Fee (one-time initial implementation fee) and a monthly Subscription Fee (recurring service fee for maintenance/monitoring). Fee details will be outlined in the service proposal or contract, depending on the system you use (e.g., a specific service package).
  • Upfront Payment: All invoices must be paid in advance. The Setup Fee must be paid before implementation begins, and the monthly Subscription Fee is paid at the beginning of each period (e.g., the beginning of the month) according to the agreed billing cycle. New services will be activated or resumed after payment is received by Ranvil.
  • Refund Policy: Setup fees are non-refundable once the system implementation or setup work has begun. Similarly, monthly subscription fees already paid will not be refunded for any current or past subscription period, regardless of whether the Service is fully utilized during that period.
  • Third-Party Fees: Fees for using third-party services integrated with the Service (e.g., WhatsApp API, Twilio, email providers, hosting, AI services, and other third-party services) are not included in the Ranvil Subscription Fee. These third-party service fees are borne entirely by you (the Client) and are subject to change at any time according to the policies of each third-party service provider. Ranvil will notify you of any significant changes, but the responsibility for payment of these third-party fees remains with the Client.
  • Late Payment: You are required to pay each bill according to the specified schedule. In the event of late payment, Ranvil reserves the right to temporarily suspend the Service until payment is received. The suspension period due to late payment does not reduce or terminate your obligation to pay the Subscription Fee for that period. If late payment continues and is not resolved within the specified time period, Ranvil reserves the right to terminate the Service as set out in these Terms.
Third Party Services
In its operations, Ranvil Services may be integrated with third-party services or platforms (e.g., WhatsApp Business API, telecommunications services like Twilio, email service providers, hosting platforms, third-party AI models, etc.). You understand and agree that:
  • Responsibility and Compliance: Using features that rely on third-party services requires you to comply with the terms and conditions set by those third-party service providers. For example, using the WhatsApp API or bulk email services must comply with the usage policies and restrictions set by WhatsApp or the relevant provider. Ranvil is not responsible for any consequences arising from your violation of the third-party provider's terms and conditions.
  • Service or Fee Changes: Third-party services may be subject to changes, disruptions, or fee adjustments beyond Ranvil's control. Any changes to third-party policies, features, or fees (for example, an increase in messaging rates by a telecommunications provider) may impact the Services you use. Ranvil will endeavor to notify you of relevant changes, but any additional costs or consequences resulting from changes to third-party services are the responsibility of the Client.
  • Limitation of Liability: Ranvil does not guarantee the availability or perfect performance of integrated third-party services. Any disruptions or losses caused by failures on the part of third-party services (e.g., downtime on the WhatsApp platform or email provider servers) are beyond Ranvil's responsibility. However, Ranvil will assist in reasonable coordination with the relevant providers to restore service in the event of a disruption.
Communication and Support
To ensure optimal service, all official interactions between you (the Client) and Ranvil must be conducted through Ranvil's designated communication channels. The terms of communication and support are as follows:
  • Official Forms and Emails: Requests for service, consultation, or technical support must be submitted through the official form on the Ranvil website or through the official contact information provided (such as the Ranvil customer support email address or phone number). Please ensure you use the designated communication channels to ensure your request is documented and receives a proper response.
  • Communication Responsibility: Ranvil is not responsible for instructions, requests, or communications related to the Service delivered through any medium other than official channels. For security and transparency, avoid providing instructions or sensitive information through third parties or unofficial channels. If you are contacted by someone claiming to represent Ranvil through an unusual channel, you are advised to confirm the matter through official Ranvil contact information.
  • Response Time: Ranvil will strive to provide support and respond to your questions or issues as quickly as possible during our stated operating hours. Response and resolution times may vary depending on the complexity of the request, but Ranvil is committed to providing professional and responsive customer service.
User Obligations and Restrictions
By using Ranvil Services, you agree to comply with all applicable terms and conditions. To maintain the quality and security of the Services, you are prohibited from:
  • Illegal Use or Spam: Using the Services for any unlawful purpose, including but not limited to sending spam, engaging in fraud, distributing malware, phishing, or other illegal activities. You may not ask Ranvil to create or implement a system dedicated to unlawful or unethical practices (e.g., a system for sending large amounts of spam or supporting fraud).
  • Abuse of Communication Channels: Abusing the communication channels facilitated by the Service (such as WhatsApp, email, SMS, or automated phone calls) in a manner that violates the policies of such service providers or causes disruption. You may not use these channels to send prohibited content, harass others, or engage in activities that may result in your (or Ranvil's) phone number, email address, domain, or account being blocked** by the relevant communication service provider.
  • Security Violations: Taking any action that could jeopardize the security of Ranvil's systems or other users' data. This prohibition includes, but is not limited to, unauthorized access to Ranvil's systems, attempted hacking, exploiting vulnerabilities, attempts to access, collect, or steal data belonging to Ranvil or other clients, and any action that could compromise the integrity or performance of the Service's infrastructure.
  • Trademark and Reputation Misuse: Defaming Ranvil through false statements, defamation, or untrue claims about the Services. You are also prohibited from using Ranvil's name, logo, trademark, or visual identity without Ranvil's written permission. Any public representations regarding your partnership or use of Ranvil's Services must be factual and must be approved by Ranvil, if necessary.
You understand that violation of the above provisions is a serious matter and may result in sanctions in the form of suspension or termination of the Service and further legal action if necessary.
Suspension and Termination of Services
Ranvil reserves the right to temporarily suspend or terminate the Services provided to you if you violate these Terms or if certain circumstances adversely affect Ranvil's operations. The following provisions apply to service suspension and termination:
Reasons for Suspension/Termination: Ranvil may suspend or terminate your Services,without obligation to provide prior notification, if you commit a violation orfollowing actions:
  • Late Payment: Failure to make payment of the Service Fee according to the agreed schedule (late payment).
  • Violation of Law or Abuse: Using the Services for any unlawful activity or requesting Ranvil to build a system for spam, fraud, or other illegal activity.
  • Service/Channel Abuse: Abusing a communication channel or feature of the Service (e.g., WhatsApp, email, phone) in a manner that causes disruption or violates third-party policies,including if your actions result in your phone number, domain, or account associated with the Service being blocked by a third-party provider.
  • Threats to Security: Taking actions that threaten the security of the Service, such as unauthorized access, hacking attempts, or attempts to unauthorizedly acquire system data.
  • Defamation or Violation of Ranvil's Rights: Defamation of Ranvil, or unauthorized use of Ranvil's brand (including false partnership claims or unauthorized use of Ranvil's logo), which could harm Ranvil's reputation.
Impact of Termination: If the Service is suspended or terminated:
  • Access Termination: Your access to the Services and related components (including any automation systems, agents, bots, or integrations provided by Ranvil) will be immediately disabled. You will not be able to use the Services during or after the suspension period.
  • Data Management: Ranvil does not guarantee the retention or availability of your data after service termination. Therefore, you are advised to regularly back up or copy any important data, logs, or configurations contained within Ranvil's systems. After termination, Ranvil reserves the right to delete your data from our servers in accordance with our internal policies and applicable regulations.
  • Refunds and Financial Obligations: If service termination is due to your violation of the Terms or illegal use, Ranvil is not obligated to refund any service fees already paid. Any outstanding balance remains your responsibility. If there is an advance payment for an unpaid period and the termination is not due to your fault/violation (for example, due to Ranvil's decision to terminate the service generally), Ranvil will refund any remaining unused service fees in proportion to the amount.
Ranvil will not be responsible for any loss or damage to your data that you may experience as a result of any suspension or termination of service under these Terms.
Warranty Disclaimer
The Ranvil Services are provided to you “as is” and “as available” without warranty of any kind. To the fullest extent permitted by applicable law, Ranvil makes no express or implied warranties, representations, or guarantees regarding the Services. We do not guarantee that the Services will always be available without interruption, be error-free, be completely secure, or be suitable for your specific purposes or needs. Any materials or information obtained through the Services are provided for informational purposes only and without any warranty from Ranvil.
Limitation of Liability
To the fullest extent permitted by law, Ranvil will not be liable for any damages of any kind arising from or related to your use of the Services. This includes, but is not limited to, indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or other intangible damages, even if Ranvil has been advised of the possibility of such damages.
Under no circumstances will Ranvil's maximum cumulative liability to you for any claim or loss exceed the total service fees you have paid to Ranvil in the three (3) months prior to the claim. This limitation of liability applies to the extent not prohibited by applicable law. These provisions do not purport to exclude liability that cannot be legally excluded.
Changes to Provisions
Ranvil reserves the right to change, modify, add, or remove any of these Terms from time to time. Any material changes to the Terms will be notified by a notice on the Ranvil website or by email (where applicable) before the changes take effect. You are advised to check this Terms page periodically for updates. By continuing to access or use the Service after changes to the Terms come into effect, you are deemed to have accepted the amended Terms. If you do not agree to the changes, you must discontinue use of the Service.
Applicable Law
These Terms are governed by and will be construed in accordance with the laws of the Republic of Indonesia.You agree that any dispute or claim arising from the use of the Services or related to these Terms will be resolved through amicable consultation and consensus. If amicable settlement cannot be reached, the dispute will be resolved through the jurisdiction of a competent Indonesian court. (For international Clients, this law applies to the extent that local law in the Client's country does not provide otherwise. However, nothing in these Terms waives any consumer protection rights that may apply under the laws of the jurisdiction where you reside.)
Other Provisions
  • Severability: If any provision of these Terms and Conditions is held to be void, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions.
  • No Waiver: Ranvil's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The waiver of a breach shall not constitute a waiver of any other or subsequent breach.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms to any other party without Ranvil's written consent. Ranvil may assign its rights and obligations to an affiliate or successor as part of a corporate restructuring or asset transfer, provided that your rights under these Terms remain intact.
